Terms and Conditions:
- Responsibility of Food Quality: The Mess Vendor shall be solely responsible for the quality, hygiene, and safety of the food prepared and served to the customers. DineTimz shall not be held liable for any issues arising from the consumption of food provided by the Mess Vendor.
- Compliance with Regulations: The Mess Vendor agrees to comply with all applicable laws, regulations, and standards related to food preparation, handling, and safety.
- Menu Updates:The Mess Vendor shall ensure that the menu provided on the DineTimz platform is accurate and up-to-date at all times. Any changes or updates to the menu shall be promptly communicated to DineTimz.
- Order Fulfillment: The Mess Vendor agrees to fulfill all orders placed through the DineTimz platform promptly and efficiently. Failure to do so may result in penalties or termination of the partnership.
- Customer Service: The Mess Vendor shall provide courteous and professional customer service to all customers ordering through the DineTimz platform. Any complaints or issues shall be addressed promptly and resolved to the satisfaction of the customer.
- Payment and Settlement: DineTimz shall collect payments from customers on behalf of the Mess Vendor for orders placed through the platform. Payments shall be settled to the Mess Vendor as per the agreed-upon terms.
- Marketing and Promotion: The Mess Vendor acknowledges that DineTimz may engage in marketing and promotional activities to promote the services offered by the Mess Vendor through the platform.
- Termination of Partnership: Either party reserves the right to terminate the partnership at any time with prior notice. Upon termination, any outstanding obligations shall be settled promptly.
- Confidentiality: Both parties agree to maintain the confidentiality of any proprietary information shared during the course of the partnership.
- Governing Law: This agreement shall be governed by and construed in accordance with the laws and any disputes arising out of or in connection with this agreement shall be resolved through arbitration.
- Insurance and Liability: The Mess Vendor agrees to maintain appropriate insurance coverage, including but not limited to general liability insurance, to cover any liabilities arising from their operations. DineTimz shall not be held responsible for any damages, losses, or liabilities incurred by the Mess Vendor.
- Menu Pricing: The Mess Vendor shall set menu prices in consultation with DineTimz. Any changes to menu prices shall be communicated to DineTimz in advance for updating on the platform.
- Exclusive Partnership: The Mess Vendor agrees to exclusively partner with DineTimz for online ordering and delivery services during the term of this agreement. The Mess Vendor shall not enter into similar agreements with competing platforms.
- Data Protection: DineTimz shall collect and process personal data of customers placing orders through the platform. The Mess Vendor agrees to comply with all applicable data protection laws and regulations and to use customer data only for the purpose of fulfilling orders.
- Technical Requirements: The Mess Vendor shall ensure they have the necessary equipment and technology to receive and fulfill orders placed through the DineTimz platform. Any technical issues shall be addressed promptly to minimize disruption to service.
- Feedback and Reviews: The Mess Vendor agrees to encourage customers to provide feedback and reviews on their dining experience through the DineTimz platform. Feedback shall be used to improve service quality.
- Indemnification: The Mess Vendor agrees to indemnify and hold harmless DineTimz, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses arising out of or in connection with the Mess Vendor’s operations or breach of this agreement.
- Modification of Terms: DineTimz reserves the right to modify these terms and conditions at any time. The Mess Vendor shall be notified of any changes, and continued use of the platform constitutes acceptance of the modified terms.
- Entire Agreement: This agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter
- Quality Assurance Inspections: DineTimz reserves the right to conduct periodic quality assurance inspections of the Mess Vendor’s facilities to ensure compliance with food safety and hygiene standards. The Mess Vendor agrees to cooperate fully with such inspections.
22.Promotional Materials: DineTimz may provide promotional materials, such as banners, flyers, or digital assets, to promote the services of the Mess Vendor on the platform. The Mess Vendor agrees to display and utilize these materials as instructed by DineTimz.
23.Seasonal Offerings: The Mess Vendor may offer seasonal or special menu items at their discretion. DineTimz encourages the Mess Vendor to communicate such offerings in advance for promotion on the platform.
24.Non-Compete Clause: During the term of this agreement and for a period of 2 yrs thereafter, the Mess Vendor agrees not to engage in any business activities that directly compete with the services offered by DineTimz
25 Brand Representation: The Mess Vendor agrees to represent the DineTimz brand accurately and positively in all communications and interactions with customers, both online and offline.
26.Non-Discrimination: The Mess Vendor agrees not to discriminate against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or any other characteristic protected by law in the provision of goods or services through the DineTimz platform.
27 Training and Development: DineTimz may provide training and development opportunities to the Mess Vendor’s staff to enhance their skills and knowledge in areas such as food safety, customer service, and menu development.
28 Timely Communication: The Mess Vendor agrees to communicate promptly with DineTimz regarding any operational changes, issues, or concerns that may affect the fulfillment of orders through the platform.
